The Legal Department is led by the Global General Counsel who is responsible for managing the legal affairs and risks of the company.

The Legal Department performs key functions such as:

  • Providing strategic and tactical advice to the company, the board of directors, lines of business, governance committees and control functions
  • Operating the Office of the Corporate Secretary
  • Managing litigation and regulatory investigations
  • Serving as a guardian of the company, the department:
  • Balancing risk and reward decision-making
  • Facilitating identification and assessment of risk arising from existing or potential changes in law, regulation or the external environment
  • Advising on the day-to-day business operations of the company.

This role will provide advice and guidance to the Insurance and Annuities business within Global Wealth and Investment Management.  

Day to day responsibilities for this position include:

  • Assisting the business with federal and state laws and regulations applicable to the sale and distribution of insurance and annuities as well as negotiating contracts.   Responsibilities also include providing advice on strategic initiatives involving insurance and annuities.  
  • Negotiating contractual arrangements with insurance carriers.
  • Advising on changes in laws and regulations at the state and federal levels.
  • Advising on strategic issues such as compliance with “best interest” standards, breadth of product offerings (including brokerage-based and fee-based options), and licensing and producer compensation matters.
  • Assisting management with all matters, including carrier and product due diligence, governance, resolution of audit issues, questions involving e-commerce, privacy, cybersecurity, etc.
  • Participating in industry trade groups such as IRI and advising management on potential changes in the regulatory environment.
  • Collaborating with business, other areas of the BAC law department, and outside counsel to deliver proactive, strategic and timely legal solutions and support.
  • Navigating regulatory change by providing proactive and timely analysis of proposed and existing laws, regulations and industry litigation to the business.
  • Coordinating and maintaining strong relationships with the Compliance and Risk Departments.
  • Working with outside counsel on select projects.

Required Experience:

  • Candidates should have 5-10 years of experience at an insurance company or a law firm.
  • In-depth, specialized knowledge of Insurance and Annuity product structures and laws and regulations relating to selling these products.
  • Strong knowledge of the workings of applicable regulatory agencies (e.g., State insurance departments; FINRA, SEC).
  • Experience providing expert and strategic advice on laws relevant to Annuities and Insurance. Includes interpretation of regulatory changes and prevailing industry litigation environment.
  • Experience drafting and negotiating a wide range of commercial contracts, including, but not limited to, selling and distribution agreements.
  • Experience with laws and rules applicable to individual retirement accounts and the Investment Advisor’s Act.
  • JD from an accredited law school.
  • Membership in good standing in at least one state bar.
